For the board of directors to do its work effectively, it is necessary that members understand their individual responsibilities and that the board organises itself to perform necessary tasks efficiently. Board committees constitute an important element of this governance process and should be established with clearly agreed reporting procedures and a written scope of authority.

The Nomination & Remuneration Committee (NRC) has a key role to play in the oversight and management of human capital at the board, senior management, and other levels in the organisation. The NRC is also charged, amongst other things, with the ownership of processes relating to succession planning, board evaluation, talent management, diversity and inclusion, as well as ensuring a strong corporate culture.

For these reasons and more, understanding the role and responsibilities of the NRC, how it communicates and interacts with the board and management, as well as other key stakeholders, is crucial to the effective functioning of the NRC itself and to the board.
