To create good governance an organisation needs a professional who not only knows how to develop a best practice governance framework but also how to implement it effectively. It is only then that organisation can perform better and become more successful and sustainable in the longer-term.
As boards have become more complex, the role of the board secretary has evolved from one of a mere 'servant' administrator for the board and minute-taker to that of a governance professional responsible for governance implementation within the organisation on behalf of the board. Holders of the position are now recognised as filling a core position as senior or professional staff.
This two-day workshop explores the development of the board secretary's role and explains the duties of the board secretary within the governance framework and in preparing for, managing and following up after board meetings.
Board secretaries need to know 'how' to do governance in addition to the 'what' needs to be done. The workshop is, therefore, interactive, sharing practical tips and incorporating group discussions on how different tasks can be carried out effectively.
This workshop will cover:
· The Board Secretary and the governance framework
· Understanding corporate governance – difference between governance and compliance, and trends and forecasts in good governance practices
· Legal responsibilities which fall within the board secretary's role
· Board and Board Committee preparation, management and post meeting follow up
The workshop is an introduction to the topic for new board secretaries, a refresher in best practices for current board secretaries, especially for those who may not have had the benefit of any professional development.
